Open Marketplace
Open Market has created a complete, end-to-end solution to electronic
commerce, putting together all of the pieces necessary for merchants
and buyers to carry out secure business transactions in an electronic
medium. The company's on-line transaction environment - called "Open
Marketplace" - serves as the interface between merchants and buyers on
the Internet. Open Marketplace removes the barriers that merchants and
buyers typically face in electronic commerce, such as sending and
accepting secure payment, generating visibility, creating trust with
customers, and finding the right products or services. Open
Marketplace minimizes the risk of venturing into the on-line
marketplace by giving companies everything they need to be successful
in the electronic marketplace, and provides buyers with an environment
that is educational, interesting and easy to use.
The "StoreBuilder"
In order to offer products and services through an electronic medium
such as the Internet, merchants need to set up "virtual storefronts"
that are easily located and readily available to any Internet user.
The electronic storefront is a buyer interface screen accessible
through any Internet browsing program that serves to identify the
company and its products or services, and provides buyers with a menu
of choices for easy browsing and shopping.
With the StoreBuilder kit, Open Market is the first company to enable
merchants of any size or type to quickly and easily create a
storefront on the Internet - with or without having an Internet
connection. StoreBuilder is a do-it-yourself software program that
provides a simple and intuitive interface to create an electronic
storefront, making it easy for merchants with little or no experience
with the Internet to set up shop on the Internet.
Merchants use Open Market's StoreBuilder to:
* design colorful welcome screens that provide buyers with an
introduction to the company and products;
* create compelling electronic advertisements of products and
services that can incorporate audio and video-based product
demonstrations;
* catalog and index all products and services so that buyers can
easily search for and find the products they need.
StoreBuilder helps merchants manage their product offering for
effective display and easy access for buyers. The kit includes an
extensive clipart gallery for merchants to select attractive graphical
icons to enhance the appearance of their storefront and build brand
awareness. By purchasing StoreBuilder, newcomers to the electronic
marketplace secure themselves "storefront space" in Open Marketplace.
In addition, merchants can use StoreBuilder to create storefronts for
any other Web server anywhere on the Internet.
Product Creation
With the purchase of StoreBuilder, Open Market also provides product
creation tools that enable a company to redefine its product line to
take advantage of the efficiencies of electronic commerce. For the
first time, information merchants can essentially create new products
at no additional cost, tailoring their content to the needs of
individual buyers. Product creation capabilities, which enable a
company to differentiate itself by reshaping its current product line
according to the needs of the marketplace, include:
* pay-per-page, giving information providers the ability to
cost-effectively sell and bill customers for information in
non-standard increments, such as by the chapter, by the page, or
even by the paragraph; and
* pay-per-time, giving database vendors, on-line service providers
or any other information service the ability to rent access to
their services in non-standard increments without charging a
monthly subscription fee. For example, merchants can sell a
two-month subscription to a newsletter, or sell 10 hours of access
to computer-based training modules.
These product creation mechanisms allow merchants to offer products
that would otherwise be non-existent because of the prohibitive costs
of repackaging and distribution.
Other features of StoreBuilder include:
* departments - merchants have the ability to segment their product
offerings into well-defined departments;
* "Grand Opening" announcement - upon the establishment of a new
electronic storefront, merchants can write and post an
announcement in Open Marketplace, as well as in the Commercial
Sites Directory, about the opening of their new store.
Open Market currently has an on-line version of the StoreBuilder kit,
which requires Internet access. Merchants with access to the Internet
can undertake the store building process themselves. Merchants without
access to the Internet can select from Open Market's network of
trained agents who will assist them in designing and getting their
store up and running. Open Market is also developing a shrink-wrapped,
"off the shelf" version of StoreBuilder so that merchants with no
Internet access can use their own computers to create a store on the
Internet.
Merchant Services
Merchants with little or no experience in electronic retailing can be
successful in Open Marketplace. To ensure the ongoing success of its
merchants, Open Market provides merchants with a suite of tools and
services to help them effectively market their products and services
in this new environment, including:
* secure payment - Open Market's payment system, the cornerstone of
Open Marketplace, enables electronic merchants to carry out secure
business transactions with its customers. The company uses
encryption technology, firewall security, and a sophisticated
buyer authentication scheme to provide merchants with a highly
secure system for accepting payment for goods on-line;
* real-time credit card authorization - the company's payment system
operates with a real-time connection to existing financial
networks so that customer credit card purchases can be authorized
on a "while-you-wait" basis. Open Market is the only company to
offer this service to electronic merchants;
* Smart Reports - merchants receive regular sales and usage reports
that detail store traffic volume, average time spent browsing,
sales volume, etc., and tools to create custom reports based on
traffic and sales data;
* storefront management - Open Market provides merchants with
administrative interfaces to manage content in their electronic
storefront, such as a means of auditing and editing account
information for changes, updates and deletions to the merchant's
product offering. In addition, merchants have the ability to run
"Specials" on items of their choice;
* document fingerprinting - for the first time, merchants selling
information have automatic methods of uniquely stamping and
numbering documents, called document fingerprinting. This serves
to discourage the unauthorized electronic distribution of
copyrighted material and provides a mechanism to identify
documents that have been distributed fraudulently;
* customer feedback mechanism - buyers are given a quick and easy
way to electronically communicate with Open Market merchants,
giving merchants the ability to deliver a level of communication
and service to customers never before possible in traditional
commerce.
The ongoing visibility - and success - of merchants is ensured through
a buyer environment that is designed to create value for buyers based
on compelling, educational and useful services. Buyer traffic to
merchant stores is further enhanced by searching capabilities and
ongoing deployment of "intelligent agents" that make it easy for
buyers to find exactly the products and services they are looking for.
These search capabilities provide merchants with a highly qualified,
self-selected audience for its advertising.
The Buyer Environment
Open Marketplace is the equivalent of "one-stop shopping" for Internet
users - a single point of access to easily get to all commercial
services and information on the Internet, as well as a single account
for shopping in any store on the Internet. Not only do buyers have
access to Open Market merchants, they have quick and easy access to
any company offering goods and services anywhere on the Internet. In
Open Marketplace, Internet users can, for the first time, browse
through, search for and purchase goods and services electronically -
anywhere on the Internet. Buyers can pay for goods and services with
any major credit card, and Open Market plans to support payment
through any bank account accessible from an automated clearing house
(ACH).
Buyers are not charged for browsing through any of Open Market's
merchants' stores. When buyers decide they would like to make a
purchase, Open Market takes them through the process of creating an
account on-line. Open Market undertakes a number of measures to ensure
the security of buyers' accounts, including:
* buyer authentication - Open Market ensures the proper identity of
buyers using password and encryption-based authentication schemes;
* privilege profile - when buyers create an account with Open
Market, they specify their "privilege profile" which outlines the
particular purchasing restrictions they wish to place upon their
account. The buyer may, for example, wish to prohibit purchases
over $1,000. The buyer also sets the dollar value of a transaction
to which a higher level of security can be linked (subject to Open
Market's discretion);
* out-of-band credit card entry - should the buyer feel uneasy about
giving his or her credit card number over the Internet, Open
Market gives them the option to create their account on-line and
then submit their credit card number via phone or fax to complete
the process.
Open Market's buyer environment provides an extensive suite of
services for Internet shoppers designed to create value for the buyer,
including:
* personal home pages - Once buyers have set up accounts, they have
a "personal home page" in Open Marketplace that serves as the
starting point when they first arrive. The personal home page acts
as a personal table of contents for each buyer and provides
buttons that quickly link them to frequently used services. Buyers
can modify their home page "links" to those places and services
that they like to visit most;
* Smart Statements(tm)- buyers receive detailed on-line reports
concerning everything they have purchased from Open Market
merchants, giving buyers greater control over their accounts than
ever before;
* reserve for purchase - buyers browsing through Open Marketplace
can select items they may want to purchase and place them in their
"electronic shopping cart." Only at the end of their shopping trip
are the items tallied up for purchase. This enables the buyer to
browse through different stores and select items for purchase
without having to make a final decision on them until they are
certain they have seen everything they need to see. Buyers can add
and delete items from their "reserve for purchase" list as often
as they wish before making a final purchase;
* search capabilities - buyers can search through Open Market
merchant offerings, as well as for other commercial Internet
services, using simple keyword and descriptive searches to find
exactly what they are looking for;
* merchant feedback mechanism - as part of their personal home page,
as well as on their Smart Reports, buyers have a simple and easy
way to communicate with Open Market or with merchants. The buyer
simply clicks on the feedback button and sends a note off to the
merchant of their choice;
* pay-per-page and pay-per-time - buyers have the ability to
purchase only certain segments of an information product
(pay-per-page), or rent access on a limited basis to a database or
information service (pay-per-time) that would normally require a
monthly service fee. This enables buyers to create customized
product offerings, such as a custom textbook that combines
material from several different information providers.
* personalized information service - buyers can browse through,
sample, and retrieve information as they choose, and in the
quantity that suits their needs.
In addition, the company has created a host of services that are
designed to give buyers greater access to all of the most useful,
interesting and compelling places on the Internet, as well as
information gateways and useful links (to free federal data, for
example, or to commonly used frequently-asked-questions (FAQ) lists).
Introductory Pricing
Open Market's StoreBuilder Kit is available immediately through the
Internet at Open Market. The Web address (URL) is
"http://www.openmarket.com".
To facilitate the deployment of StoreBuilder, Open Market is
establishing a network of authorized agents to help merchants create
on-line stores.
Open Market offers three tiers of introductory pricing for the
StoreBuilder kit and ongoing monthly fees (rent) for merchants,
depending on the amount of information contained in each store:

These prices are subject to change after our introductory period and
do not include either payment transaction fees, or charges for
additional storage requirements.
(*) Kiosk merchants do not have access to Open Market's payment
system.
Availability and Technical Requirements
To create a store themselves, merchants need to have a connection to
the Internet using a Web browser (such as Mosaic) that is capable of
handling "forms". Forms allow users to enter data into their browser
for processing by Open Market. Most browsers today can handle forms.
Most computers today have methods for connecting to the Internet
through a local Internet Service Provider (ISP).
